The paper deals with the "banche popolari" italian law reform (decree-law n. 3/2015 converted into law n. 33/2015). The new legislation, so called "Investment compact", requires the transformation of the biggest "banche popolari" into "società per azioni". At the same time, the new law amends the rules regarding the banks that remain cooperative: for them it allows the issue of financial tools. The paper highlights the effects of the law reform on the cooperative banks'corporate governance.
